These Terms of Service ("Terms") govern your access to and use of the Trayce application and related services (the "Service") provided by Mercuri Gaming, Inc. ("we," "us," or "our").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Trayce helps medical device representatives photograph surgical trays, catalog instruments using automated vision analysis, and compare pre-use and post-use inventories. The Service is a tool to assist your workflow; it is not medical advice, a sterilization certification, or a substitute for your employer's policies, hospital procedures, or professional judgment.

2. Eligibility

You must be at least 18 years old (or the age of majority where you live) and authorized to use the Service in connection with your work. You represent that information you provide is accurate.

3. Your Account

You are responsible for safeguarding your credentials and for activity under your account. Notify us at support@mercuri.com if you suspect unauthorized access. You may delete your account at any time in the app.

4. Acceptable Use

You agree not to:

  • Use the Service unlawfully or in violation of hospital, employer, or regulatory requirements
  • Upload content you do not have the right to use
  • Attempt to disrupt, probe, or reverse engineer the Service
  • Misrepresent scan results as official hospital or regulatory records

You are solely responsible for how you use scan and comparison results in clinical or business settings.

5. User Content

You retain ownership of photos and data you submit. You grant us a limited license to host, process, and analyze that content solely to provide the Service (including sharing with vision AI providers as described in our Privacy Policy).

6. AI and Accuracy

Vision and comparison outputs are generated by automated systems and may be incomplete or incorrect. Always verify tray contents using your organization's required procedures before relying on any result.

7. Privacy

Our Privacy Policy describes how we handle personal information. By using the Service, you also agree to the Privacy Policy.

8. Third-Party Services

The Service relies on third-party infrastructure and APIs. We are not responsible for third-party outages or policies.

9. Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MERCURI GAMING, INC. AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

11. Indemnity

You will defend and indemnify us against claims arising from your misuse of the Service or violation of these Terms.

12. Changes

We may modify the Service or these Terms. Material changes will be indicated by an updated effective date. Continued use after changes constitutes acceptance.

13. Termination

We may suspend or terminate access for violation of these Terms or to protect the Service. You may stop using the Service at any time.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules, except where mandatory local law applies.
